Vertiv to Acquire ThermoKey in Bid to Bolster Data Center Cooling Portfolio

Vertiv, the global data center infrastructure company, has announced plans to acquire ThermoKey, a move that will significantly expand its heat rejection capabilities for converged physical infrastructure.

The Deal

The acquisition targets ThermoKey, an Italian manufacturer specializing in heat exchangers and thermal management solutions. While financial terms of the deal were not disclosed, the strategic rationale is clear: as data centers grow more power-dense to accommodate AI workloads, cooling has become the industry’s most pressing challenge.

Why It Matters

Data centers are running hotter than ever. The explosion of generative AI and high-performance computing has sent power densities soaring, with some racks now pushing past 100kW. Traditional cooling approaches are struggling to keep pace, and operators are scrambling for solutions that can handle the thermal load without breaking the bank on energy costs.

ThermoKey’s expertise in heat rejection technology—the critical process of moving waste heat out of facilities—fills a gap in Vertiv’s existing portfolio. The combination positions Vertiv to offer more comprehensive thermal management solutions to hyperscalers, colocation providers, and enterprise customers alike.

The Bigger Picture

This acquisition fits a broader consolidation trend in the data center infrastructure space. As the AI boom continues to strain existing facilities, vendors are racing to assemble end-to-end cooling portfolios through M&A. Competitors like Schneider Electric and Eaton have made similar moves in recent months.

For Vertiv, which went public via SPAC in 2020 and has seen its stock benefit from AI tailwinds, ThermoKey represents another bet that thermal management will remain a bottleneck worth solving.

What’s Next

The deal is expected to close in the coming months, subject to regulatory approvals. Integration will be key—Vertiv will need to quickly bring ThermoKey’s products into its global sales channels to capitalize on the current data center building boom before the market cools off.
